The principles outlined in our Ethical Code apply to all business transactions and daily activities of our employees, as well as our suppliers, business partners, sales agents, subcontractors, and distributors. This approach makes every stakeholder an integral part of our operations.

Our Code of Ethics outlines the ethical and social responsibilities of every employee and partner at Prysmian. It serves as a useful guide that is integrated into the core of Prysmian's values and plays a strategic role in all our activities. The Ethical Code of Conduct encompasses principles of business integrity, environmental responsibility, and the rights of individuals and workers.

A Commitment to Ethics & Integrity

Prysmian firmly believes that profit should always be achieved through respect for the rules and competitors. Our actions are fair and transparent, anticipating and meeting market needs, thus generating value for distribution to all stakeholders. 

At Prysmian, we have a robust anti-corruption culture bolstered by our comprehensive compliance policies, which ensure the security and protection of all our stakeholders. 

We have adopted an Anti-Bribery Policy and an Antitrust Code of Conduct, which are published on our corporate intranet. Updates are communicated to all employees.

 

Anti-Bribery Policy

This policy prohibits the corruption of public officials and private individuals. It requires every Prysmian employee to comply with and adhere to all anti-corruption legislation in the countries where they work or are active. 

Under this policy, no employee may make, promise to make, offer or approve the payment of anything of value, whether directly or indirectly, for the benefit of public officials unless in compliance with all current laws and to the extent expressly allowed by the company Policy. Non-compliance with this policy can result in severe legal and disciplinary actions. 

For this purpose, the term ‘public officials’ means the employees of a public agency or company controlled by the government, including commercial entities, international public organizations, political parties or party officials or candidates for public office.

 

Antitrust Code of Conduct

This code aims to manage any instances of unfair competition. It describes the issues relating to the application of Italian and EU competition policy regarding agreements and the abuse of dominant positions. Any specific situations arising must be assessed against this framework on a case-by-case basis. An established compliance structure.

To support and sustain integrity, one of Prysmian’s key values, the Company has appointed an organization to monitor the observance of the Code of Ethics and the Compliance Policies. 

The organization comprises the following roles:

  • Chief Compliance Officer oversees all compliance policies and procedures, including the Code of Ethics. The Chief Compliance Officer reports to the Control and Risk Committee and the Chief Executive Officer.
  • Local Officers are present at each location to ensure consistent implementation of compliance policies.

 

Ensuring employee adherence

We have introduced an e-learning module to enhance employee awareness of our Code of Ethics and Compliance Policies. A new version of this online application is now available on the Company's intranet. 

Completing the e-learning module is not merely a recommendation; it is a mandatory requirement for all Prysmian management and staff. This emphasizes our commitment to raising awareness about the Company's Code of Ethics and Compliance Policies and fosters a deeper understanding of our expected behaviors.

The principles outlined in the Code govern all business transactions and daily activities involving our employees, Prysmian entities, and their suppliers, commercial partners, agents, subcontractors, and distributors. 

The document addresses several key areas:

  • Business Integrity: This includes fair trade practices, managing conflicts of interest, guidelines on gifts and entertainment, anti-corruption measures, and accountability.
  • Human Rights and Workers’ Rights: We focus on preventing underage labor and slavery, ensuring health and safety in the workplace, promoting non-discrimination, and supporting freedom of association and collective bargaining.
  • Environmental Responsibility: This involves adhering to the precautionary principle, responsible use of raw materials, energy efficiency, management of greenhouse gas emissions, water consumption, waste production, and recycling practices.

Our Code of Business Conduct, along with the related guidelines, is emphasized to suppliers during the scouting and qualification stages. It is readily accessible to all employees on our intranet, ensuring transparency and encouraging a culture of compliance. Any updates to the Code are communicated promptly across the company, keeping everyone informed.

Prysmian is actively involved in the design, development, production, supply, and installation of a diverse range of cables, accessories, and systems for various applications in the energy and telecommunications industries. The company is dedicated to ensuring the safety, health, and well-being of its employees, as well as protecting the environment. This commitment is a core aspect of its operations and helps create value for all stakeholders, both internal and external.
 
Conflict minerals, specifically Tin, Tungsten, Tantalum, and Gold (often referred to as 3TG), can be sourced from the Democratic Republic of Congo and the ten surrounding countries. Armed groups in the region have taken control of various aspects of mining and the export process, using the profits from these minerals to fund their activities and commit human rights abuses. This situation highlights our collective responsibility to ensure that our operations do not contribute to these serious issues. Prysmian is dedicated to making certain that our business partners are aware of and comply with our policy regarding conflict minerals.
