Our Code of Ethics

Our Ethics & Integrity are supported by our Company Compliance Policies and Procedures (including the Code of Ethics, Anti-Corruption Policy, Antitrust Policy, Code of Business Conduct, Conflict of Interest Procedure, Helpline Policy, Donations Procedure, and Sponsorship Procedure, and Privacy and Data Protection Policy, among others). These are designed to ensure adherence from our employees, suppliers, business partners, sales agents, sub-contractors and distributors, and are crucial in upholding the Prysmian way of doing business, a standard we all strive to maintain.

Adapting to Changing Business Practices

Our Code of Ethics and compliance policies are designed to adapt and grow alongside our business in a competitive environment. We regularly assess current laws and regulations related to these areas and update our policies to reflect the latest best practices. We also consider the opinions and requests of our stakeholders regarding legality and ethical standards. To support our commitment to ethical conduct, we implement various initiatives, including the Prysmian Helpline program. 

All updates to our policies are communicated across the company and made easily accessible to all employees and associated companies.

Cybersecurity

In a rapidly changing world where information has significant value and there is growing interoperability between networks, systems, and applications, managing and protecting information assets and ensuring compliance with applicable regulations is increasingly complex. 

This complexity is particularly relevant for manufacturers continuing to drive extensive innovation in products and services, manufacturing processes, and the industrial ecosystem to compete in this changing global marketplace by adopting new technologies to achieve customer-centricity and increase value-added services and business efficiency. 

In this context, Prysmian has taken a proactive approach by developing an Information Security Strategy. This strategy's main objective is to set an overall direction to efficiently and effectively address the management, control, and protection of the company's information assets. Our unwavering commitment to this strategy ensures the security and confidence of our stakeholders.

Codes, Policies & Practices

Prysmian’s Code of Ethics is the basis of our company constitution. It is a charter of rights and moral duties that defines the ethical and social responsibilities of every employee.

The Code consists of three pillars:

  1. Ethics in business activities: The pursuit of profit does not justify improper behavior. Profit must be achieved with respect for the rules and our competitors and by fair and transparent actions that anticipate and meet market needs, thus generating value for distribution to all stakeholders.
  2. Ethics in internal relations: We understand the importance of our ties with employees. We strengthen these by respecting their rights, expectations, and needs and facilitating improved living conditions and professional growth. The individual is central to our future development as a company.
  3. Ethics in environmental and social matters: Given our strong belief in the principle of sustainable development, we operate worldwide with respect for the environment and local communities. At the same time, we encourage the responsible use of resources and promote local projects designed to enhance well-being in the areas concerned.

All companies within Prysmian agree to comply strictly with the Code of Ethics, applicable regulations, and the rules and procedures adopted by the Group.


Supporting our Code of Ethics

Integrity is a key value of Prysmian. To ensure it is upheld at all levels within the company, we have established a compliance organization to monitor the observance of our Code of Ethics and other relevant compliance policies.

The organization comprises the following roles:

  • Chief Compliance Officer: manages all compliance policies and procedures, including the Code of Ethics, while reporting to the Control and Risks Committee and the Chief Executive Officer of the Group.
  • Local Compliance Officers: present at every Prysmian Group company to ensure the consistent implementation of compliance policies.

 

Raising employee awareness

To ensure employee awareness of all our policies regarding ethical conduct, we introduced an e-learning module on our intranet. Completing this module is obligatory for all Prysmian management and staff.

New versions of this online application are made available on the Group’s intranet and staff are notified when these updates are available.

With this approach, we aim to keep our employees continually engaged with our policies and stimulate a greater understanding of their importance to us as a company.

Prysmian takes the elimination of corruption and unfair competition extremely seriously. To that end, the compliance policies enshrined in our Code of Conduct include an Anti-Bribery Policy and an Antitrust Code of Conduct. Both documents are published on the corporate intranet, where all employees may access them, and any updates are communicated across the company.

 

The Anti-Bribery Policy

This policy prohibits the corruption of both public officials and private individuals. It requires all Prysmian employees to comply with its rules and regulations and, if the former is less restrictive, all the anti-corruption legislation in force in the countries in which they work or are active.

Under this policy, no employee may make, promise to make, offer, or approve the payment of anything of value, whether directly or indirectly, for the benefit of public officials unless in compliance with all current laws and to the extent expressly allowed by Group Policy.

For this purpose, the term ‘public officials’ means the employees of a public agency or company controlled by the government. This includes commercial entities, international public organizations, political parties or party officials, or candidates for public office.

The Antitrust Code of Conduct

This code describes the issues relating to Italian and EU competition policies concerning agreements and the abuse of dominant positions. The specific situations arising must be assessed against this framework on a case-by-case basis.

At Prysmian, we actively promote business practices focused on supply chain responsibility and sustainability and compliant with ethical, economic, environmental and social standards throughout the company. These principles are enshrined in our Code of Business Conduct.

The Code applies to all employees and all our trade partners. The principles defined in the Code apply to the business transactions and to the daily activities of all employees, Prysmian companies and related suppliers, trade partners, commercial agents, subcontractors and distributors.

The Code deals with the following topics: business integrity (fair trading, conflicts of interest, gifts and entertainment, bribery and corruption, reporting); human and labor rights (child labor, forced labor, occupational health and safety, non-discrimination, freedom of association and collective bargaining); and environment (precautionary principles, raw materials and compliance, energy consumption, greenhouse gases and other emissions, water consumption, waste generation, and recycling).

The Information Security Committee is responsible for defining and monitoring Cyber Security's Strategic and Operational goals and ensuring the effectiveness and efficiency of the Cyber Security Framework and Program.
